1. Acceptance of Terms

By accessing or using SchemaVerse ("the Service," "the Platform," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and SchemaVerse governing your use of the Platform, including all features, tools, content, and services offered through it.

If you do not agree to all of these Terms, you must not access or use the Service. Your continued use of SchemaVerse after any modifications to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.

If you are using SchemaVerse on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" and "your" shall refer to both you individually and the organization you represent.

2. Description of Service

SchemaVerse is a platform for creating, sharing, and exploring database schemas using the Database Markup Language (DBML). The Service provides users with tools to design relational database structures, visualize entity relationships, collaborate with other users, and discover schemas created by the community.

3. User Accounts and Responsibilities

To access certain features of SchemaVerse, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate, current, and complete.

You may not share your account credentials with any third party. Each account is intended for use by a single individual. SchemaVerse shall not be liable for any loss or damage arising from your failure to maintain the security of your account.

4. User Content and Licensing

SchemaVerse allows users to create, upload, publish, and share database schemas and related content ("User Content"). You retain ownership of the intellectual property rights in the User Content that you create, subject to the license granted below.

By submitting, posting, or publishing User Content on or through the Service, you grant SchemaVerse a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the operation and provision of the Service. This license includes the right to make your User Content available to other users of the Service who may also use your User Content subject to these Terms.

When you publish a schema as public, you acknowledge that other users may view, fork, and build upon your schema in accordance with the forking and derivative works provisions described in Section 7 of these Terms. You are solely responsible for the User Content you submit and the consequences of posting or publishing it.

You agree to use SchemaVerse only for lawful purposes and in a manner consistent with the intended functionality of the Platform. You agree not to engage in any of the following prohibited activities:

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including removing offending content, suspending or terminating the violator's account, and reporting the violator to law enforcement authorities.

6. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and shall remain the exclusive property of SchemaVerse and its licensors. The Service is protected by copyright, trademark, trade dress, patent, trade secret, and other intellectual property or proprietary rights laws.

The SchemaVerse name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SchemaVerse or its affiliates or licensors. You must not use such marks without the prior written permission of SchemaVerse. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

Nothing in these Terms grants you any right, title, or interest in the Service or any of its content other than the limited right to use the Service in accordance with these Terms. All rights not expressly granted herein are reserved by SchemaVerse.

If you believe that any content on the Service infringes your intellectual property rights, please contact us at contact@schema-verse.com with a detailed description of the alleged infringement. We will investigate and respond to notices of alleged infringement in accordance with applicable law.

7. Forking and Derivative Works

SchemaVerse supports forking as a core feature of the Platform. Forking allows users to create a copy of a publicly available schema to use as a starting point for their own work. By publishing a schema as public on SchemaVerse, you expressly grant other users the right to fork your schema and create derivative works based upon it.

When you fork another user's schema:

Derivative works created through forking are subject to the same User Content licensing terms described in Section 4 of these Terms. By publishing a derivative work, you grant the same licenses to SchemaVerse and to other users as described therein.

SchemaVerse does not mediate disputes between users regarding attribution or derivative works. If you have a dispute with another user regarding forked content, we encourage you to resolve it directly with the other party. However, we reserve the right to take action, including removing content or disabling accounts, if we determine that a user has violated these Terms.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SCHEMAVERSE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, SchemaVerse makes no warranty or representation that:

You acknowledge that you use the Service at your own risk. Any schemas or database designs obtained through the Service should be independently verified and validated before being used in any production environment or critical application.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCHEMAVERSE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF SCHEMAVERSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCHEMAVERSE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO SCHEMAVERSE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations and exclusions set forth in this section shall apply to the fullest extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless SchemaVerse, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable attorneys' fees) arising from or related to:

SchemaVerse reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

11. Termination

You may terminate your account and stop using the Service at any time by contacting us or using the account deletion functionality provided within the Service. Upon termination of your account, your right to access and use the Service will immediately cease.

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to the following circumstances:

Upon termination, all licenses and rights granted to you under these Terms will immediately terminate. However, the following provisions shall survive termination: User Content and Licensing (Section 4), Intellectual Property (Section 6), Disclaimer of Warranties (Section 8), Limitation of Liability (Section 9), Indemnification (Section 10), Governing Law and Disputes (Section 12), and any other provisions that by their nature should survive termination.

We may, but are not obligated to, retain or provide copies of your User Content after termination. You are responsible for exporting any data or content you wish to retain prior to terminating your account.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

Before filing any legal claim, you agree to first attempt to resolve the dispute informally by contacting us at contact@schema-verse.com. We will attempt to resolve the dispute informally within thirty (30) days. If the dispute is not resolved within that period, either party may proceed with formal legal action as permitted under these Terms.

To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against SchemaVerse.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect as if the invalid, illegal, or unenforceable provision had never been included.

In the event that any provision is determined to be invalid, illegal, or unenforceable, the parties agree that the court should endeavor to give effect to the parties' intentions as reflected in the original provision to the fullest extent permitted by law. If a provision cannot be reformed, it shall be severed from these Terms, and the remaining provisions shall be interpreted so as to best effectuate the original intent of the parties.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of these Terms and, where appropriate, provide additional notice such as posting a notification on the Service or sending you an email.

For material changes to these Terms, we will make reasonable efforts to provide at least thirty (30) days' notice before the new terms take effect. What constitutes a material change will be determined at our sole discretion.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of and agreement to be bound by the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and, if applicable, terminate your account.
